Terms and Conditions

Article 1 — Definitions

• Arcadis: Arcadis Nederland B.V., Amsterdam, Chamber of Commerce 09036504
• Client: the organisation that enters into an agreement to use the platform
• Platform: the iToezichtProtocol system including the web application, mobile app and associated services
• User: an employee of the Client with access to the platform

Article 2 — Applicability

These terms apply to all offers, quotations and agreements under which Arcadis makes the platform available. Deviations are only valid if agreed in writing.

Article 3 — Access and use

Arcadis grants a non-exclusive, non-transferable licence to use the platform for the duration of the agreement. The Client is responsible for managing user accounts, correct use by employees, and the accuracy of inspection data entered.

Article 4 — Availability

Arcadis targets a minimum availability of 99% per quarter, excluding planned maintenance. Planned maintenance will be announced at least 48 hours in advance.

Article 5 — Payment and subscriptions

Invoicing is monthly in advance per user in accordance with the chosen subscription. Payment term: 30 days from invoice date. Price changes will be announced at least 3 months in advance.

Article 6 — Intellectual property

All intellectual property rights in the platform vest in Arcadis or its licensors. The Client obtains only the right to use as described in Article 3. Copying, reverse-engineering or creating derivative works is not permitted without written consent.

Article 7 — Confidentiality and data

Inspection data and project information remain the property of the Client at all times. After termination of the agreement, Arcadis will make the data available for export for 60 days, after which it will be deleted.

Article 8 — Liability

Arcadis's liability is limited to direct damages and shall not exceed, per incident, the amount the Client paid in the preceding 12 months. Arcadis is not liable for indirect damages or loss of revenue.

Article 9 — Duration and termination

The agreement is for an indefinite period unless otherwise agreed. Client notice period: 1 calendar month. Arcadis notice period: 3 months.
